Suppliers' Terms & Conditions

These Suppliers' Terms & Conditions (“Supplier Terms”) govern the relationship between Dispatch Supply (“we”, “us”, “Dispatch Supply”) and any business that supplies goods to us for resale, including manufacturers, wholesalers, importers and trade partners (“Supplier”, “you”).

1. Scope of These Terms

  • These Supplier Terms apply to all purchase orders issued by Dispatch Supply to a Supplier, unless expressly varied in writing by an authorised representative of Dispatch Supply.
  • In the event of any conflict between these Supplier Terms and a Supplier's own standard terms of sale, these Supplier Terms shall prevail, unless otherwise agreed in writing.

2. Orders

  • A binding contract is formed only when Dispatch Supply issues a written purchase order (“Purchase Order”) referencing these Supplier Terms, and the Supplier accepts it, whether by written confirmation or by commencing performance.
  • Each Purchase Order will specify the goods, quantity, price, delivery address, and required delivery date.
  • The Supplier shall notify Dispatch Supply immediately if it is unable to meet the quantity, quality or delivery date specified in a Purchase Order.

3. Pricing & Payment Terms

  • Prices shall be as agreed in the relevant Purchase Order or supply agreement and shall remain fixed for the duration specified, unless otherwise agreed in writing.
  • Unless otherwise agreed, payment terms are 30 days from receipt of a valid invoice and goods.
  • Invoices must reference the relevant Purchase Order number and be submitted to info@dispatchsupply.co.uk.
  • Dispatch Supply reserves the right to withhold payment in respect of any goods that do not conform to the Purchase Order, pending resolution.

4. Quality, Specification & Compliance

  • All goods supplied must conform to the agreed specification, be of satisfactory quality, fit for their intended purpose, and comply with all applicable UK product safety, labelling and regulatory requirements, including but not limited to the General Product Safety Regulations 2005 (and its successor regime), UK REACH (where applicable to materials such as adhesives or plastics), and any product-specific British or UK standards relevant to the goods supplied (for example, relevant standards for thermal paper, packaging materials, or electrical accessories).
  • Where goods are intended for food-contact, child-related, or safety-critical use, the Supplier warrants that all goods meet the relevant UK safety standards and that valid test certification can be provided to Dispatch Supply on request.
  • The Supplier shall maintain appropriate quality control procedures and shall notify Dispatch Supply immediately of any safety, compliance, or quality issue identified with goods already supplied, including any recall, safety notice, or non-conformance.

5. Delivery & Risk

  • Goods shall be delivered to the address, and by the date, specified in the Purchase Order. Time of delivery is of the essence unless otherwise agreed.
  • Risk in the goods passes to Dispatch Supply only upon delivery to and acceptance at the specified delivery address. Title passes upon full payment, unless otherwise agreed.
  • The Supplier shall ensure goods are appropriately packaged to prevent damage in transit and shall provide accurate delivery documentation, including item descriptions, quantities and any relevant batch or safety information.

6. Inspection & Rejection

  1. Dispatch Supply reserves the right to inspect goods on or after delivery and to reject any goods that do not conform to the Purchase Order, specification, or applicable quality and safety standards.
  2. Rejected goods will be returned to the Supplier at the Supplier's cost, and Dispatch Supply shall be entitled to a full refund or replacement, at its option, together with reimbursement of any directly associated reasonable costs incurred because of the non-conformance.

7. Warranties & Indemnity

  1. The Supplier warrants that it has full right and authority to supply the goods, that the goods do not infringe any third-party intellectual property rights, and that the goods comply with all applicable laws and regulations in force in the United Kingdom.
  2. The Supplier shall indemnify and hold Dispatch Supply harmless against any claims, losses, liabilities, fines, or costs (including reasonable legal costs) arising from any breach of these warranties, including any claim brought by an end consumer arising from a defect, non-conformance or safety issue in the goods supplied.

8. Product Liability & Insurance

  • The Supplier shall maintain adequate product liability insurance cover for the duration of the supply relationship, in an amount appropriate to the nature and volume of goods supplied and shall provide evidence of such cover to Dispatch Supply upon reasonable request.

9. Confidentiality

  • Each party shall keep confidential any commercially sensitive information disclosed by the other in connection with the supply relationship, including pricing, volumes, and business plans, and shall not disclose such information to any third party without prior written consent, save as required by law.

10. Intellectual Property

  • Unless otherwise agreed, all intellectual property in any bespoke packaging, branding, or specifications provided by Dispatch Supply to the Supplier for the purposes of fulfilling a Purchase Order shall remain the property of Dispatch Supply.

11. Termination

  1. Either party may terminate the supply relationship by giving 60 days written notice.
  2. Dispatch Supply may terminate immediately, without liability, in the event of a material breach by the Supplier (including repeated quality or compliance failures), insolvency of the Supplier, or where required to comply with applicable law or a regulatory or safety notice.

12. Anti-Bribery, Modern Slavery & Ethical Trading

  1. The Supplier warrants that it complies with the Bribery Act 2010 and the Modern Slavery Act 2015, and that it does not engage in, and takes reasonable steps to prevent, forced labour, child labour, or other practices prohibited under UK law within its own operations and supply chain.
  2. Dispatch Supply reserves the right to request reasonable evidence of compliance, including audit access, where proportionate to the nature of the supply relationship.

13. Governing Law & Jurisdiction

These Supplier Terms are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction over any dispute arising from or in connection with them.
